1. Agreement
These Terms of Service ('Terms') govern your use of golarx.com (the 'Service') operated by Larx, Inc. (3100 Clarendon Boulevard, Suite 600, Arlington, VA 22203) ('the Company').
By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms on that organization's behalf. If you do not agree to these Terms, do not access or use the Service.
The Service is a business-to-business geospatial decision-intelligence platform that combines satellite imagery, including SAR and optical imagery, live IP camera video feeds, and IoT sensor data, including SCADA data through Modbus or DNP3, into a coordinate-indexed spatial stream. The Service supports spatial alert detection, encroachment monitoring, change-detection reports, audit logs, and related spatial workspaces for infrastructure corridors, utility grids, and environmental monitoring sites.
2. Use of the Service
You may use the Service only for lawful business purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Service, including your use of generated alerts, reports, and audit logs, is appropriate for your operational, regulatory, safety, and business decisions.
You are responsible for the accuracy, legality, and appropriate use of the information and data you provide or connect to the Service. You must not use the Service to interfere with its operation, gain unauthorized access to accounts or systems, bypass access controls, introduce malicious code, or violate applicable law or the rights of others.
If you connect satellite imagery APIs, SCADA endpoints, camera systems, or other data sources to the Service, you are responsible for obtaining and maintaining the necessary API credentials, connection permissions, licenses, consents, and data-source agreements. You are also responsible for configuring those connections and for ensuring that your use of each connected source complies with its applicable terms and restrictions.
You must protect your account credentials and notify the Company promptly if you believe that credentials or access to the Service have been compromised. You are responsible for activity conducted through your account to the extent caused by your failure to maintain appropriate access controls.
3. Intellectual Property
The Service, including its software, interfaces, workflows, documentation, visual elements, and underlying technology, is owned by the Company or its licensors and is protected by applicable intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to access and use the Service during the applicable subscription period for your internal business operations.
Except as expressly permitted by these Terms or applicable law, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, or create derivative works from the Service. You may not remove proprietary notices or use the Company's trademarks, branding, or other intellectual property without prior written permission.
As between you and the Company, you retain your rights in Customer Data as described in Section 4. The Company retains all rights in the Service and in its general ideas, methods, improvements, and know-how that do not identify you or disclose your Customer Data.
4. Customer Data
For purposes of these Terms, "Customer Data" means data that you or your authorized users submit to, connect to, or make available through the Service, including infrastructure imagery, satellite imagery, sensor readings, SCADA data, camera feeds, spatial coordinates, operational information, and related metadata.
You represent and warrant that you have all rights, permissions, authorizations, and lawful bases necessary to submit, connect, and use Customer Data through the Service. You further represent that your submission and use of Customer Data do not violate any third-party rights, NERC CIP obligations, confidentiality duties, contractual restrictions, or applicable data-sharing restrictions.
You authorize the Company to process Customer Data solely to provide the Service to you, including generating spatial alerts, change-detection reports, audit logs, and spatial workspaces, and to maintain, secure, and support the Service as necessary to perform those functions. The Company does not sell or transfer Customer Data to third parties.
You are responsible for reviewing Customer Data and the outputs of the Service before relying on them in operational, infrastructure, utility, environmental, safety, compliance, or other decisions. The Service may identify changes, patterns, or conditions, but it does not replace professional judgment, field verification, engineering review, emergency procedures, or other appropriate safeguards.
You must not submit data to the Service that you are prohibited from sharing or processing through the Service. You are responsible for maintaining any copies, backups, retention practices, and source-system records that you require.
5. DISCLAIMERS
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
THE COMPANY DOES NOT WARRANT THAT THE SERVICE, ANY CONNECTED DATA SOURCE, ANY ALERT, REPORT, AUDIT LOG, SPATIAL WORKSPACE, OR OTHER OUTPUT WILL BE COMPLETE, CURRENT, ACCURATE, AVAILABLE, OR SUITABLE FOR YOUR PARTICULAR PURPOSE. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL DETECT EVERY CHANGE, ENCROACHMENT, CONDITION, OR EVENT, OR THAT IT WILL PREVENT LOSS, DAMAGE, INTERRUPTION, OR SECURITY INCIDENTS.
YOU ARE SOLELY RESPONSIBLE FOR YOUR OPERATIONAL AND BUSINESS DECISIONS, INCLUDING DECISIONS RELATING TO INFRASTRUCTURE, UTILITY SYSTEMS, ENVIRONMENTAL MONITORING, SAFETY, SECURITY, AND REGULATORY MATTERS. YOU SHOULD VERIFY SERVICE OUTPUTS USING APPROPRIATE PROFESSIONAL AND FIELD-BASED METHODS.
6. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR EXPECTED SAVINGS, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF THE COMPANY AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO THE COMPANY FOR THE SERVICE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
THESE LIMITATIONS APPLY TO ALL THEORIES OF LIABILITY, WHETHER BASED ON CONTRACT, WARRANTY, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR ANY OTHER THEORY, TO THE EXTENT PERMITTED BY LAW.
7. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its directors, officers, employees, contractors, licensors, and service providers from and against claims, demands, proceedings, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- your use of the Service or your violation of these Terms;
- Customer Data, including its submission, connection, processing, or use through the Service;
- your failure to obtain required rights, permissions, credentials, consents, licenses, or data-source agreements;
- your violation of applicable law, NERC CIP obligations, contractual restrictions, or third-party rights; or
- claims that your Customer Data or use of a connected data source infringes, misappropriates, or violates another person's rights.
The Company will provide reasonable notice of an indemnified claim and may participate in its defense. You may not settle an indemnified claim in a manner that admits fault by or imposes obligations on the Company without the Company's prior written consent.
8. Termination
You may stop using the Service at any time. The Company may suspend or terminate access to the Service if you materially violate these Terms, if continued access creates a security or legal risk, or as reasonably necessary to protect the Service, the Company, or other users.
Upon termination, your right to access and use the Service ends. Provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, Customer Data obligations, disclaimers, limitation of liability, indemnification, dispute resolution, and interpretation.
Termination does not eliminate obligations or liabilities that arose before termination. You remain responsible for preserving any Customer Data or records that you need from the Service before access ends.
